RESPONSIBILITY OF THE MANAGEMENT – BUSINESS JUDGMENT RULE
The main topic of the research is the business judgment rule (BJR). The rule reads that there is no breach of duty if, in the case of an entrepreneurial decision, the Board member was reasonably expected to act on the basis of appropriate information for the benefit of the Company. Within the scope of the corporate judgment, there is no full judicial review of the appropriateness of the actions taken by the managers. There is no doubt that the board of the LLC almost always make entrepreneurial decisions under uncertainty and often under great time pressure.
